ZeroStack Secures $1 Billion Crypto Investment from MemeCore Investors

ZeroStack Corp. has announced a monumental $1 billion cryptocurrency investment, receiving close to 926 million MemeCore tokens from Purple AI Inc. and Blockcat Pte. Ltd. This strategic exchange will grant MemeCore-affiliated investors a substantial ownership position in the Nasdaq-listed firm. The agreement involves the contribution of MemeCore (CRYPTO: $M) tokens, each valued at $1.08, in return for 3.5 million common shares of ZeroStack and pre-funded warrants for an additional 36,198,293 shares.

The warrants, priced at $25.19 per share, significantly exceed ZeroStack's current market trading price. These shares will only be issued pending shareholder approval under Nasdaq Listing Rule 5635 and will be subject to a lock-up period of up to ten years post-closing. This transaction is designed to bolster ZeroStack's engagement with decentralized artificial intelligence (AI), building upon its existing 0G assets. MemeCore's Layer 1 blockchain, centered around community-driven memes, will further integrate ZeroStack into diverse crypto ecosystems alongside its current decentralized AI initiatives.

According to CEO Daniel Reis-Faria, this partnership marks a pivotal achievement for ZeroStack, as the company strives to become a publicly traded conduit for advanced digital infrastructure assets. The collaboration aims to advance consumer-focused distributed AI, leveraging MemeCore's community as a potential distribution channel for future applications. Furthermore, Rudy Rong, a principal at MemeCore, will join ZeroStack as president, providing a public platform to foster greater institutional involvement and expand cooperation between both ecosystems. While the contributed tokens are valued at their current market rate, the ZeroStack equity is issued at a premium, offering shareholders a substantial digital asset addition, albeit with a significant future equity issuance contingent on approval. ZeroStack Corp. (NASDAQ: ZSTK) is currently trading at $2.75 per share in the U.S. market.
